As the Advisor, Global Legal Entity Corporate Governance (GLEG), you will report directly to the Director, Global Legal Entity Corporate Governance (DGLEG) and be part of the Global Corporate Governance Team. This is an excellent opportunity to work alongside the DGLEG, providing assistance and support at a strategic and operational level to;

  • globally maintain a portfolio of Bacardi legal entities and branches in good standing from a corporate governance point of view,

  • further develop the profile and services of the Global Corporate Governance Team,

  • build cross functional relationships with other Primos,

  • make a proactive added value contribution to a diverse range of support to finance, tax and other functions, and participate in global projects, and

  • develop knowledge about the spirits industry within Bacardi, having a unique position as a family owned company.

This role requires strong interpersonal skills to communicate and collaborate effectively with counterparts in various functions, globally. Success in this position depends on your ability to operate and coordinate seamlessly within our organization. To thrive in this role, you should bring solid legal corporate, secretarial and KYC knowledge and experience. The Primo we are looking for this position, is driven to get the job done, not averse to rolling up his/her sleeves, positive attitude, involved, communicative in both Dutch as English, Spanish desirable, and a real go-getter. He / she has HBO/WO working and thinking level, can function independently as well as in a team. The job is for 40 or 32 hours a week.

RESPONSIBILITIES - YOUR KEY FOCUS WILL BE

  • Provide direction and support in the delivery of corporate secretarial and governance services to Bacardi group entities, to include but not limited to drafting, reviewing, or coordinating the execution of minutes/written resolutions, powers of attorney, proxies and filings with trade registers in close collaboration with our third party global corporate service provider, to ensure that these companies fulfil their legal and statutory obligations under the relevant jurisdiction

  • Proactively support the DGLEG in all areas of accountability with particular focus on acting as an advocate of corporate governance matters within the Bacardi group of entities.

  • Identify areas where current Entity Management or Document Automation systems, databases and services can be developed and/or improved.

  • Support and establish strong relationships with key internal stakeholders to ensure internal procedures relating to subsidiary governance policies, global regulatory requirements and signatory policies are being adhered to and where there are gaps provide guidance.

  • Supporting the DGLEG, or other team members, with board administration to include, organizing, attending and recording meetings (where required) of key subsidiaries and ensuring that action is taken to implement decisions made at these meetings.

  • Organize and maintain an accurate and consistent Bacardi corporate file, and updated data in folders and entity management systems.

  • Cooperate in and deliver a variety of internal corporate governance projects (to include but not limited to entity rationalization).

  • Assist raising the profile of the Corporate Governance Team across the business through proactive value-added contribution to corporate projects and the development of strong relationships with colleagues in other functions.

THE SKILLS AND EXPERIENCE NEEDED TO CREATE YOUR LEGACY

  • Juris Doctorate Degree or equivalent International Legal Degree, with a preference of 1-2 years corporate law at an international law firm, trust company, or (in-house) company secretarial experience in a fast moving commercial (preferably multi-jurisdictional) environment.

  • Passion for technology, and experience with Legal Entity Management Systems, and/or other legal tech tools.

  • Great analysis and oral/written communication skills with the ability to advise and influence people at all levels, including external service providers or other parties.

  • Enthusiastic “team player” who enjoys working in a multi-cultural and language environment, and experience in managing people remotely.

  • Knowledge and experience around corporate governance and its practices.

  • Diligent, with an eye for detail and an ability to meet tight deadlines.

  • Able to work independently and comfortable with managing a busy workload of changing priorities.

  • Service-oriented, and able to pro-actively reach out to and build internal network with our stakeholders of legal, finance and tax,

  • Resourceful - know where to look to find the answers even if the answer is not known.

  • Results focused with an ability to identify pragmatic solutions.

  • Integrity and objectivity.

  • Excellent oral and written communication skills.

  • Fluent English (verbal and in writing), and other European languages are a plus (Spanish desirable).
